These Terms of Service ("Terms") constitute a legally binding agreement between you and Nuzzl ("we", "our", or "us") regarding your use of our website nuzzl.co.uk and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Services Description

Nuzzl provides the following services:

• TagPoint CMMS: QR code-based computerized maintenance management systems
• Odoo ERP Development: Custom enterprise resource planning solutions and implementations
• LeadCMS.ai Hosting: Implementation and hosting services for AI-powered content management systems
• IT Outsourcing: Software development and IT resource outsourcing services

3. Eligibility

Our services are intended for business use. By using our services, you represent that you are at least 18 years old and have the legal capacity to enter into binding contracts. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

5.2 Client Intellectual Property

You retain all rights to your data and content. By using our services, you grant us a limited license to use, store, and process your content solely for the purpose of providing our services.

5.3 Custom Development

Intellectual property rights for custom development work will be specified in individual service agreements. Unless otherwise agreed, you will own the custom code developed specifically for your project, while we retain rights to our pre-existing tools, frameworks, and methodologies.

6. Payment Terms

• Payment terms will be specified in individual service agreements
• All fees are exclusive of applicable taxes unless otherwise stated
• Late payments may incur interest charges as permitted by law
• We reserve the right to suspend services for non-payment

7. Service Level and Availability

While we strive to provide reliable services, we do not guarantee uninterrupted or error-free operation. Specific service level agreements (SLAs) will be outlined in individual service contracts. We reserve the right to modify, suspend, or discontinue services with reasonable notice.

8. Data Protection and Privacy

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with UK GDPR and the Data Protection Act 2018.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives termination of services. Specific confidentiality terms may be outlined in separate non-disclosure agreements.

10. Limitation of Liability

To the maximum extent permitted by law:

• Nuzzl shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from our services shall not exceed the amount paid by you for the services in the 12 months preceding the claim
• Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law

11. Indemnification

You agree to indemnify and hold harmless Nuzzl, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Third-Party Services

Our services may integrate with or link to third-party services (such as TagPoint, Odoo, LeadCMS.ai). We are not responsible for the content, privacy practices, or terms of service of these third parties. Your use of third-party services is at your own risk and subject to their respective terms.

13. Termination

Either party may terminate services in accordance with the terms of individual service agreements. We reserve the right to suspend or terminate your access to our services immediately if:

• You breach these Terms or any service agreement
• You fail to make required payments
• Your use of services poses a security risk or violates applicable laws

Upon termination, you must cease using our services and we will provide reasonable assistance with data retrieval as outlined in your service agreement.

14. Warranties and Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, secure, or error-free.

15. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Dispute Resolution

In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiations. If a resolution cannot be reached within 30 days, either party may pursue formal legal proceedings.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated revision date. Continued use of our services after changes constitutes acceptance of the modified Terms. Material changes will be communicated via email or prominent website notice.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

20. Entire Agreement

These Terms, together with our Privacy Policy and any individual service agreements, constitute the entire agreement between you and Nuzzl regarding the use of our services and supersede all prior agreements and understandings.
